1. INVOICE The Buyer orders from Adesso Corporation (hereafter referred to as “Adesso”) the product(s) listed in this document.
2. PURCHASE PRICE The buyer agrees to pay the total purchase price specified on the front of this document.
3. DELIVERY Delivery shall occur at Adesso unless otherwise specified in writing in this document.
4. INSPECTION The buyer must inspect the product(s) upon delivery and notify Adesso of any defects or discrepancies within 3 days of receipt.
5. TITLE AND RISK OF LOSS Title and risk of loss or damage to the products pass to the buyer on the date of shipping to the buyer.
6. LIMITED WARRANTY Adesso Inc. offers a 1-year limited warranty covering materials and workmanship. This warranty excludes products subjected to improper handling, abuse, neglect, unauthorized repair, or installation. The warranty does not cover products with broken seals or assembly traces, or those installed with non-Adesso components.
7. ALTERATIONS, MODIFICATIONS, AND ATTACHMENTS Any alterations, additions, or attachments on the products not authorized in writing by Adesso are at the BUYER’S own expense and risk. Such actions may affect product operation and void the warranty.
8. RETURN MERCHANDISE POLICY For warranty service:
a. Email [email protected] to obtain an RMA number. b. Include invoice date & number, product description, and serial number, and detailed reason for return. c. Follow additional RMA processing requirements detailed in the policy.
9. RETURN FOR CREDIT For sales returns, email [email protected] for an RMA number. State the intent to return for credit. Follow additional return guidelines detailed in the policy.
10. DAMAGE ON ARRIVAL (DOA) For DOA products, contact Adesso for an RMA number within 15 days of receipt.
11. LEAD TIME OF SERVICE Replacement and repair services are subject to stock availability and processing times detailed in the policy.
12. SERVICE CHARGES Charges for labor, handling, freight, and other services are detailed in the policy.
13. CANCELLATION Cancellation may incur a charge detailed in the policy.
14. DISHONORED CHECK A fee is charged for each returned check.
15. LATE CHARGE A late charge is applied to past-due accounts as detailed in the policy.
16. SECURITY INTEREST Adesso maintains a security interest in the merchandise. The legal venue is Los Angeles County, California.
17. COLLECTION COSTS The buyer is responsible for costs related to the collection of any due sums.
18. ENTIRE AGREEMENT This document constitutes the entire agreement. It can only be modified by a written agreement signed by both parties.

Limited Warranty
Subject to the exclusions contained below, Adesso Inc, warrants that for a period of one(1) year from the date of purchase by the first consumer purchaser of the product that this product is free from defects in materials and workmanship and conforms to its specifications. During this period, Adesso Inc. will repair or replace any product which proves to be defective. However, Adesso Inc will not warranty any product which has been subject to improper handling, abuse, negligence, improper installation or unauthorized repair. The warranty will not cover products installed with components not approved by Adesso Inc. and products where the sealed assembly trace has been broken. If you discover a defect, Adesso Inc. will, at its option, repair or replace the product free of charge, provided you return it during the warranty period with freight charges pre-paid to Adesso Inc. Before returning any product, you must obtain a Return Merchandise Authorization number (RMA). This RMA # must be clearly marked on the outside of the package you are returning for warranty service. Be certain to also include your name, shipping address (no PO BOXES), telephone number, and a copy of the invoice showing proof of purchase in the package.
